NED engagements are structured to align incentives and keep administration simple. Specific rates are provided upon request — see the form below.

Flat Fee

Productized deliverables — scope agreed in advance — typically delivered in one to two weeks — Request pricing details ↓

For the six productized deliverables in NED’s flat-fee product line: Red Flag Review with Q&A Log, Equipment Bankability Opinion Memo, Tax Credit Transfer Diligence Pack, Operating Data Review (historical or subscription), and Data Room Gap Analysis. Retainer

Fixed fee per 25-hour block — minimum one block, minimum two months — covers all consulting services — Request pricing details ↓

Covers the full range of NED consulting services — M&A due diligence, underwriting, negotiation, owner engineering, tax credit transfers, equipment assessment, operating-stage support, product design and development, corporate strategy, software development and integration, and marketing. Jon Previtali, Nolan, or Meghan leads the engagement depending on the scope of work. Engagements begin after an NDA and engagement letter.


Hybrid

Flat fee for a defined sub-scope, retainer for follow-on work — Request pricing details ↓

Used where part of the engagement is predictable and part isn’t. Examples: technical review against a standard checklist at flat fee plus retainer for live negotiation; analytical pass on a defined data set at flat fee plus retainer for follow-on dispute work; claim package at flat fee plus retainer for follow-on. Structured in a single engagement letter or SOW.


Success Fee

Tiered by project funding amount for transactions — flat fee for product launches — Request pricing details ↓

Applies when NED is part of the deal team through closing, funding, or launch. For financing, acquisition, and transfer transactions, the success fee scales modestly with the funding amount received or provided by the client, with a floor and cap that keep the numbers proportionate to the work. For product launches, the success fee is a flat amount. Terms and Engagement identified in the engagement letter or Professional Services Agreement. A tail period applies for transaction engagements.


Advisory Arrangements

Percentage of enterprise, transaction, or capital value — Request pricing details ↓

Ongoing access to Jon Previtali, Nolan, or Meghan’s expertise, network, and judgment — for calls, meetings, introductions, strategic input, product development guidance, and corporate development support.


Board Service

Structured to fit the client’s existing approach — Request pricing details ↓

Available for board seats at established and early-stage companies. Compensation structured to fit the client’s existing approach — equity, cash, or a combination.


Travel and Expenses

Reimbursed at cost plus per diem — Request pricing details ↓

Airfare at cost; business class for six or more hours each way. Per diem covers lodging, meals, and incidentals at urban and non-urban rates, domestically and internationally.

No-charge consultation, then NDA (yours or ours) and an engagement letter. For ongoing or multi-project relationships, a Professional Services Agreement with individual Statements of Work — available as a combined template. We are open to using client templates and, recognizing that time is often of the essence, recommend engagement letters to get started quickly.
